Subject of the agreement

The Parties to this Agreement intend to exchange confidential information (as defined below) in connection with a business relationship. Both sides are only prepared to exchange such confidential information under the conditions of this agreement. You, the mystery shopper/market researcher of the confidential information is hereafter referred to as "the owner" and Centrebound Limited as "the recipient".

Definition of terms

""Confidential information"" is any information (including information from or about third parties which are or were in a business relationship with the owner), technical data, business secrets, in particular, mystery shopping and market research data and practical knowledge (regardless of whether this was passed on before or after the conclusion of this agreement), including in particular information pertaining to partner agencies, business, product and service plans, financial planning, research, development, processes, constructions, drawings, technical set-ups, marketing or finances, where this information is either indicated in writing as being confidential or similarly designated or is to be regarded as confidential in light or the circumstances.

Information, technical data and practical knowledge which ...

the recipient already possesses at the point at which it is passed to him (as long as the recipient demonstrates this by the submission of appropriate documents immediately after the information is passed to him)
is in the public domain, without the recipient being responsible for this,
is subsequently lawfully passed on to the recipient by a third party or
is released in writing by the owner,

... is not to be regarded as confidential information. "

Restrictions

The recipient undertakes to use the confidential information solely for the preparation of and carrying out of the above-mentioned project and to refrain from using them for any other purpose. The confidential information is to be kept strictly confidential. Furthermore, the recipient undertakes to take all appropriate measures to protect the confidentiality of the confidential information at least to the extent to which he protects his own confidential information.

Permitted passing of information

"The recipient is nevertheless entitled to grant access to confidential information without prior written consent to:

employees who are involved in the project with the owner,
businesses which are connected with the recipient within the sense defined by corporate law.

The recipient is responsible for ensuring that the conditions of this agreement are observed by the above-named persons and companies, including after the termination of the contractual relationship between the recipient and the relevant persons or companies. "

Surrender

The recipient undertakes to surrender all documents and other materials containing confidential information to the owner at any time on being requested to do so.

Retention of data

The owner of the confidential data is to ensure all documents and data in any form (electronic or hard copies) are to be destroyed in accordance with the Data Protection Act 30 days after the successful submission of the data to the recipient.

Warranty

The owner gives no warranty for confidential information.

Reservation of rights

The owner reserves all rights to the confidential information. By concluding this agreement neither party is undertaking any obligations regarding any possible collaboration between the parties, beyond the obligations laid out explicitly in this agreement.

Duration

The duration of this agreement is not limited.

Completeness, written agreement

This agreement describes in full the agreement between the parties concerning the subject of the agreement. Changes and supplements to this agreement, as well as all declarations to be made in accordance with this agreement are only valid if made in writing.

Place of fulfilment and exclusive place of jurisdiction

Place of fulfilment and exclusive place of jurisdiction for any disputes arising from or relating to this agreement is in anywhere in the United Kingdom. The agreement is subject to the laws in either England, Wales, Northern Ireland or Scotland dependent on the place of fulfilment.

Partial nullity

Should one or more provisions of the agreement be or become invalid or unenforceable, the rest of the agreement remains valid.
